A responsabilidade civil dos administradores : os seus deveres relacionados à função social das sociedades anônimas

Abstract

O presente trabalho versa sobre a função social da empresa, perpassando, inicialmente, pelo contexto histórico do surgimento e do desenvolvimento das sociedades anônimas e analisando, em especial, os aspectos sobre a responsabilidade e a sua limitação, bem como o surgimento da figura do administrador e a dissociação entre a propriedade e o seu poder de comando. Em seguida, são analisados os principais deveres dos administradores associados à função social da empresa e suas particularidades, e, quando necessário, é feita a análise de jurisprudência envolvendo o tema. Esta pesquisa explora também os aspectos centrais da responsabilidade civil dos administradores em caso de descumprimento de seus deveres, incluindo particularidades acerca dos pressupostos da responsabilização e de excludentes de culpabilidade no âmbito civil. Observa-se, ainda, a conjuntura histórica que permitiu o surgimento da função social da empresa e como isso impactou a legislação pátria. Por fim, investiga-se a dimensão positiva da função social da empresa e a exigibilidade de um comportamento ativo dos administradores de sociedades para a promoção do interesse social e da função social da empresa.

The undergraduate thesis aims to explore the company’s social function, initially going through the historical context of the appearance and development of the joint stock companies, analyzing especially the aspects of liability and its limitation, as well as the appearance of the figure of the administrator and the dissociation between the ownership and the power of command of such companies. Then, the main duties of the administrators associated with the social function of the company are analyzed, its particularities and, when necessary, analysis of case law involving the theme. This research also explores the central aspects of the civil liability of directors in case of breach of their duties, including particularities regarding the legal preconditions of liability and the exclusion of guilt in the civil scope. The historical conjuncture that allowed the emergence of the social function of the company and how it impacted the Brazilian legislation is also observed. Finally, we investigate the positive dimension of the social function of the company and the requirement of active behavior on the part of company managers in order to promote the social interest and the social function of the company.
